Terms of Service

Staff Party AI, LLC · Version 2026-10-22 · Effective 2026-10-22 · Contact: support@mail.staffparty.app

Please read these Terms. Section 14 contains an arbitration clause and a class-action waiver: disputes with us are resolved by binding individual arbitration rather than in court, and you give up the right to take part in a class action. You can opt out within thirty days of first accepting these Terms, as section 14 explains. The Acceptable Use Policy is part of these Terms.

1. Who these terms are between

These Terms of Service (the "Terms") are a contract between Staff Party AI, LLC ("StaffParty", "we", "us") and you. "You" means the person who creates an account. If you use the service on behalf of a company or other entity, or you later form one to carry on a business you started here, "you" includes you and that entity, and you represent that you can bind it. You do not need to have incorporated to use the service or to take payments: until you have an entity, you are the party, personally.

"Your Business" means each business you create and operate on the platform, whether or not it is a legal entity. By creating an account you accept these Terms and our Privacy Policy.

2. What the service is

StaffParty is a platform on which AI workers build and operate a business for you: a hosted storefront, content, marketing, customer handling, and services bought from other businesses on the platform. The AI workers act on your instructions and on the configuration you set. You are responsible for everything they do on behalf of Your Business, including what is published on your site, what is sent to your customers, and what is bought from other businesses with your money.

What the AI workers do is done by you. They send email, publish pages, buy work from other businesses on the platform with your wallet, and act on third-party platforms you connect (Stripe, Google, GitHub, email and advertising providers). Each of those platforms has its own terms, which you agree to follow; a platform may reject, pause or remove content or an account, and that is between you and it. The AI workers' outputs can be wrong, incomplete or unsuitable; review what matters before it goes out, and tell them to stop when it should not.

No professional advice. Nothing the service produces is legal, tax, financial, medical, or other professional advice, including documents drafted by our legal product, which are drafting aids for review by a licensed professional. You are responsible for any licence, permit, registration, or consent Your Business needs.

3. Accounts and eligibility

You must be at least 18 and able to form a binding contract. Keep your credentials confidential; you are responsible for activity on your account, including actions the AI workers take at your direction. Tell us at once at support@mail.staffparty.app if you believe your account has been compromised.

4. What you pay us

Plans and task credits. A plan gives Your Business an included allowance of work by the AI workers for the billing period. That allowance is an entitlement to work, not money: it cannot be withdrawn, transferred to another business, or paid out.

Wallet dollars are real dollars. Money you add to Your Business's wallet by card, and money Your Business earns from other businesses on the platform, and any share of Your Business's sales you choose to send to the wallet (section 5, "Reinvesting"), is real US currency held for Your Business. All of it can be spent on the platform or paid to other businesses on the platform. Money you add by card is for spending: it cannot be withdrawn, but it is refundable to the card it came from to the extent it has not been spent (below), and it is spent before your earnings when you spend. Your Business's earnings can be withdrawn as described in section 5: the share of its sales you reinvest, payments its customers make to it through the platform (such as an early-bird membership), and money another business pays it out of its own withdrawable money. Money another business pays Your Business out of card money it added is spendable but not withdrawable. Credit we grant you (a welcome bonus, a goodwill credit) is spendable on the platform but is not withdrawable.

Fees, auto-refill, and refunds. Plan fees are billed in advance through Stripe and are non-refundable except where the law requires. If you turn on auto-refill, you authorise us to charge your card on file when your wallet falls below the threshold you set. Card top-ups are refundable to the original payment method to the extent the money has not been spent. Work the AI workers have performed is not refundable.

Platform fee. Where Your Business takes payments from its own customers through the platform, or sells to other businesses on it, we retain a platform fee shown to you before you enable the feature. We may change the fee prospectively with notice.

5. Taking money from your customers

Your Stripe account. To charge customers, Your Business is given its own Stripe account (a "connected account"), which we create for it when you start the business. It is a full Stripe account between Your Business and Stripe, Inc. (the "Payment Processor"), governed by the Stripe Services Agreement, which you accept when you set it up; you sign in to it with your own Stripe login. Before Your Business can take payments, Stripe verifies your identity and your bank account, and Stripe may ask for more information, or limit or close the account, under its own terms. Your Business is the merchant of record for every sale to its customers; StaffParty is a technology platform and is not a bank, a money transmitter, or the merchant of record, and is not a party to those sales.

Fees. We currently charge no fee on payments to Your Business (0%). If we introduce one, it will be shown to you before it applies to your payments, with notice under section 4. On each payment we receive any platform fee shown to you under section 4, and the share you chose to reinvest (below). The Payment Processor's own processing fees are charged to Your Business's Stripe account by the Payment Processor, separately from ours. The rest of the payment stays in Your Business's Stripe balance.

Payouts. The Payment Processor pays Your Business's Stripe balance to your bank on its payout schedule, which you manage in your Stripe account. We do not hold or send those payouts.

Refunds, chargebacks, and negative balances. Refunds to your customers are yours to decide and are paid from Your Business's Stripe balance. Chargebacks and negative balances on Your Business's Stripe account are between Your Business and the Payment Processor under the Stripe Services Agreement. Our fees on a refunded or charged-back payment are not returned, except the share of it you chose to reinvest (below), to the extent the wallet still holds it.

Reinvesting. You may choose, on Your Business's Billing page, to have a share of each payment sent to Your Business's wallet to pay for work on the platform. Nothing is sent unless you choose it; the share you choose applies to payments made after you choose it, and you can change it or turn it off at any time. A refunded payment takes its share back out of the wallet.

Tax. You are responsible for the taxes on your sales. The Payment Processor reports payments to Your Business's Stripe account to tax authorities and issues tax information forms (such as IRS Form 1099-K) where the law requires it; you agree to provide accurate tax information when asked.

Test mode. Until Stripe has enabled charges for your account, Your Business is in test mode: only you and testers you name can run a test checkout, which charges nobody, and visitors who try to buy are told payments are not yet open (and, once you have started Stripe setup, may leave their details to be told when they are). Nothing in test mode is revenue.

Withdrawals. Your Business's earnings in its wallet (section 4) can be withdrawn to your connected account once Stripe has enabled payouts for it. Money you added by card is not withdrawable; money you added before 22 October 2026 keeps the withdrawability it had. Withdrawals are reviewed by us before they are sent, as a fraud and anti-money-laundering control, and may be refused with the money returned to your wallet. We may hold a withdrawal while a chargeback, a reversal or a review is open, and if a transfer to your connected account is reversed by Stripe the money returns to your wallet.

6. Your business, your content

You own the content you provide and, as between you and us, the outputs the AI workers produce for Your Business. You give us the licence we need to host, store, process, display, and transmit that content to run the service. We own the platform, its AI workers, and everything about it that is not yours. You may not copy, resell, or reverse-engineer the platform. If you send us suggestions or feedback, we may use them without obligation to you.

7. Your hosted site and your customers

Your Business's site is hosted by us at a platform address and, if you connect one, at your own domain. You are responsible for its content and for complying with the law in every place you do business. Your customers' personal data is yours: you are its controller and we process it on your behalf as described in the Privacy Policy. Each hosted site carries default terms and a privacy notice naming you as the operator; you may replace them with your own at any time. What you publish on your site is public. The platform subdomain Your Business uses is ours and may be reassigned after Your Business closes; a custom domain you connect is yours.

8. Acceptable use

You agree to our Acceptable Use Policy, which is part of these Terms. In short: you will not use the service to break the law, infringe anyone's rights, send unsolicited messages in breach of applicable law, sell goods or services Stripe prohibits, deceive your customers, or interfere with the platform or other businesses on it. We may remove content, pause Your Business, hold a withdrawal from Your Business's wallet for review, or suspend your account for a breach, and will tell you why where the law allows. Payouts from Your Business's Stripe account are the Payment Processor's, under its own terms.

9. Privacy

Our Privacy Policy explains what we collect and why, and lists the providers we rely on, including Stripe for payments and the AI model providers whose services power the AI workers. By using the service you agree to it.

10. Leaving, spinning out, and termination

You may close Your Business or your account at any time. Your Business's Stripe account remains yours: it is an account between Your Business and the Payment Processor, which you keep after you leave, and your customers and payment history are part of the export below. We will provide an export of Your Business's data on request within a reasonable time. Withdrawable wallet money can be withdrawn under section 5 before closure, and after closure by writing to our support mailbox; money you added by card and have not spent is refunded to the card it came from on request; granted credit and unused plan allowance lapse. We may suspend or terminate your account or Your Business at any time, for any reason or no reason, including for breach, non-payment, legal, security or abuse risk, or where the law requires, and we will give you notice where the law allows and where it is practical. Whatever the reason, the money and data provisions below apply: withdrawable wallet money is yours (by request to support after closure) and your data is yours to export.

What happens when an account or a business closes. Scheduled work stops; the hosted site, its platform subdomain and its storefront go offline; pending payouts are completed or returned to the wallet as section 5 describes; and you have thirty days to export Your Business's data, after which we may delete the data except what the law requires us to keep. Withdrawable wallet money stays yours after that: write to our support mailbox and we will send it to your connected account, or by another lawful means if that account is closed. Money in Your Business's Stripe balance stays yours and is paid out by the Payment Processor as section 5 describes. An account closed for breach may not be re-opened under another name. The sections of these Terms that by their nature should survive — payments owed, ownership, disclaimers, limitation of liability, indemnity and disputes — survive.

11. Disclaimers

The service is provided "as is". We do not promise that it will be uninterrupted or error-free, that the AI workers will produce any particular result, or that Your Business will make money. The AI workers' outputs and actions may be inaccurate, incomplete, biased or unsuitable, and a third-party platform may refuse, remove or penalise them; we are not responsible for those outputs and actions, for what third-party platforms and providers do, or for disputes, chargebacks and refunds between Your Business and its customers. To the fullest extent the law allows, we disclaim all warranties, express or implied. Some places do not allow some of these disclaimers or the limits in section 12; where that is so, you may have additional rights.

12. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability to you for all claims in any twelve-month period will not exceed the greater of the fees you paid us in that period and one hundred US dollars ($100).

13. Indemnity

You will defend and indemnify us, and our officers, members, employees and providers, against claims, losses and costs (including reasonable legal fees) arising from Your Business, its content, its sales, its customers, what the AI workers did on your instructions, your breach of these Terms, of the Acceptable Use Policy or of a third-party platform's terms, or your negligence or wilful misconduct. We may take over the defence of a claim, in which case you will cooperate.

14. Disputes and governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Talk to us first: if you have a dispute with us, write to support@mail.staffparty.app and we will try to resolve it informally within thirty days. Any dispute that is not resolved that way will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, by one arbitrator, in English, in the State of Delaware or by video, except that either party may bring an individual claim in small-claims court, and either party may seek an injunction in court to protect intellectual property. Class-action waiver: claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, consolidated or representative proceeding. You may opt out of this arbitration clause by writing to us within thirty days of first accepting these Terms. Where the law of the place you live does not allow some of this section, that law applies instead.

15. Changes to these terms

We may change these Terms. The version and effective date appear at the top of this page and every change is listed at the bottom. For a material change we will tell you by email or in the product and ask you to accept the new version the next time you sign in. Continuing to use the service after that is acceptance.

16. Copyright complaints

We respond to notices under the US Digital Millennium Copyright Act. If you believe content on the platform or on a hosted site infringes your copyright, send our designated agent, at support@mail.staffparty.app , a written notice with: the work you say is infringed; the material you say infringes it and where it is (the address of the page); your contact details; a statement that you believe in good faith the use is not authorised by the owner, its agent or the law; a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorised to act for them; and your physical or electronic signature. We may remove or disable the material and tell the business that published it. That business may send a counter-notice meeting the requirements of 17 U.S.C. §512(g)(3), after which we may restore the material unless you tell us within ten business days that you have filed a court action. We close the accounts of repeat infringers.

17. Export controls and sanctions

You represent that you are not located in, and Your Business does not operate from, a country or territory subject to comprehensive US sanctions, and that neither you nor anyone who owns or controls Your Business is on a US government list of restricted or denied parties. You will not use the service in breach of US export-control or sanctions law, and you will not sell to anyone those laws prohibit.

18. Beta features

The platform is in private beta, and some features are offered as previews. Those features may change or be withdrawn without notice, may not work as described, and are provided as-is to the fullest extent the law allows.

19. General

These Terms, with the Privacy Policy and the Acceptable Use Policy, are the whole agreement between you and us about the service. If a part of them is unenforceable, the rest stands. Our not enforcing a term is not a waiver of it. You may not assign these Terms; we may assign them to a successor to our business, with notice. Neither of us is liable for a delay or failure caused by events outside our reasonable control. We may send you notices by email to your account address or in the product; you agree to receive them electronically. These Terms create no partnership, agency or employment between you and us, and no third-party beneficiaries.
